Data Partnership Agreement

This Data Partnership Agreement ("Agreement") governs the relationship between JazzNode ("Platform") and the venue, artist, or authorized representative ("Partner") who voluntarily claims and manages a listing on JazzNode.

The purpose of this Agreement is to establish clear terms for data collaboration, including the provision, display, and management of event information, venue details, and associated media content on the JazzNode platform.

This Agreement applies to Partners who have claimed their listing (Tier 1 and above). Unclaimed listings (Tier 0) are governed by publicly available information and the general Terms of Service.

Partners may provide data to JazzNode through the following methods:

• Manual Upload: Directly entering or updating venue information, event schedules, photos, and descriptions through the JazzNode dashboard.
• Authorized Scraping: By claiming a listing, the Partner grants JazzNode permission to continue aggregating publicly available event information from the Partner’s official website and social media channels.
• API Integration: For Premium tier Partners, JazzNode may provide or accept API-based data feeds for automated synchronization of event schedules and availability.

The Partner may request changes to the data provision method at any time by contacting JazzNode support.

By uploading or providing content to JazzNode, the Partner grants JazzNode:

• A non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the provided content (including photos, logos, descriptions, and event information) on the JazzNode platform and associated marketing materials.
• The right to create derivative works such as thumbnails, resized images, and promotional materials incorporating the Partner’s content.
• The right to display the Partner’s name, logo, and venue photos in search results, event listings, and social media promotions.

The Partner retains full ownership of all original content. This license is limited to the purposes of operating and promoting the JazzNode platform. JazzNode will not sub-license Partner content to third parties without prior written consent.

For content sourced from public channels (Tier 0 listings), JazzNode will attribute the source where feasible and promptly remove content upon receiving a valid takedown request per our Copyright & Takedown Policy.

Partner Responsibility: The Partner is responsible for ensuring the accuracy and timeliness of the information they provide through the JazzNode dashboard. This includes event dates, times, pricing, lineup information, and venue details.

Platform Responsibility: JazzNode will make reasonable efforts to keep automatically sourced information up-to-date and accurate. JazzNode runs daily synchronization for partnered venues but does not guarantee real-time accuracy of automatically sourced data.

Discrepancies: In case of conflicting information, Partner-provided data (manual uploads) takes precedence over automatically sourced data. Partners may override any auto-sourced information through the dashboard.

Partners gain access to platform features based on their subscription tier. A detailed comparison of tier benefits is available on the Terms of Service page. Key features include:

• Tier 1 (Claimed): Profile editing, verified badge, photo uploads, inbox access.
• Tier 2 (Premium): Custom domain, custom branding, advanced analytics, fan insights, AI monthly reports, VIP support.

Feature availability is subject to change. JazzNode will provide reasonable notice before removing features from an active tier.

Both parties agree to maintain the confidentiality of:

• Internal business metrics, analytics data, and financial information shared through the platform.
• Customer data, including fan lists, notification preferences, and purchase history.
• Technical implementation details, API credentials, and integration specifications.
• Any information explicitly marked as confidential by either party.

This obligation survives the termination of this Agreement for a period of two (2) years. Publicly available information and data independently obtained is excluded from this obligation.

Either party may terminate this Agreement at any time with written notice. Upon termination:

• Partner-initiated: The Partner may withdraw their claim through the dashboard or by contacting JazzNode support. The listing will revert to Tier 0 (unclaimed) status.
• Content removal: Partner-uploaded content (photos, custom descriptions) will be removed within 30 days of termination. Publicly sourced information may remain unless the Partner requests complete removal per the Takedown Policy.
• Data export: Partners may export their data before termination through the dashboard’s data export feature (available at all tier levels).
• Financial obligations: Outstanding subscription fees remain due. No refunds for partial billing periods unless required by applicable law.

JazzNode provides the platform "as is" and makes no warranties regarding uninterrupted service, data accuracy of auto-sourced content, or the commercial results of being listed on the platform.

JazzNode’s total liability under this Agreement shall not exceed the total fees paid by the Partner in the twelve (12) months preceding the claim.

Neither party shall be liable for indirect, incidental, consequential, or punitive damages arising from this Agreement.

This Agreement is governed by the laws of the Republic of China (Taiwan). Any disputes shall be resolved through good-faith negotiation first, and if necessary, through the jurisdiction of the Taipei District Court.
